Notice of Special Meeting of Fellows of the Society of Actuaries

PLEASE TAKE NOTICE that a Special Meeting of Fellows of the Society of Actuaries, an Illinois not-for-profit corporation ("SOA"), will be held at SOA headquarters, 475 N. Martingale Road, Suite 600, Schaumburg, Illinois on September 2, 2011 at 12:30 p.m., local time. This Special Meeting has been called by the SOA Board of Directors for the following purpose:

• To vote on a proposed amendment to the SOA Bylaws, repealing and replacing current Article XIII, relating to Discipline. Here you will find a copy of the proposed amendment, showing both the existing text of Article XIII and the proposed new text of Article XIII.

• The changes to Article XIII would authorize the SOA to enter into an agreement with other U.S.-based actuarial organizations for the conduct of joint disciplinary proceedings and determinations. Joint disciplinary proceedings would be carried out in accordance with the terms spelled out in the Agreement on Joint Discipline, under the oversight of a Joint Discipline Council comprised of the Presidents and Presidents-Elect of each participating organization.

All Fellows of record at the close of business on the date of this Notice are entitled to vote at the meeting. Fellows are not required nor expected to attend this meeting in person in order to vote; Fellows who choose not to attend will be asked to complete and submit a proxy card, a sample of which can be found here. Fellows who wish to attend and vote in person are requested to notify the SOA (Sheree Baker, Director of Governance at sbaker@soa.org or 847-706-3565) in advance, as access to the SOA office is controlled for security reasons.

The proxy card for exercising your vote will be included with the 2011 election ballot, which you will receive electronically or by paper ballot, if you have previously requested your ballot materials in that that form.

YOUR PROXY MUST BE RECEIVED BY SOCIETY OF ACTUARIES, C/O Survey & Ballot Systems, 7653 Anagram Drive, Eden Prairie, MN 55344-7311, USA NO LATER THAN 12:00 P.M., CENTRAL DAYLIGHT SAVING TIME, SEPTEMBER 2, 2011.

You may revoke your proxy at any time prior to its exercise by filing your written notice of revocation by 12:00 p.m. CENTRAL DAYLIGHT SAVING TIME, SEPTEMBER 2, 2011, with the SOA, to the attention of Amy Ebli at the address shown above. If you attend the meeting in person, you may revoke your proxy in writing at that time and vote in person.

You are urged to take time to consider this very important matter and to submit your proxy to vote on this proposed amendment. In order for this measure to be adopted, at least 25% of the Fellows must vote on it. More information about the proposed amendment of the Bylaws and the proposed joint discipline agreement can be found on the SOA Web Site at www.soa.org.
